CONSTITUTION OF THE OSCEOLA CLASSROOM TEACHERS ASSOCIATION
OSCEOLA COUNTY, FLORIDA
ARTICLE 1 - NAME
The name of this organization shall be the Osceola Classroom Teachers Association.
ARTICLE II - PURPOSE
The purpose of this organization shall be to promote high professional practices; to promote cooperation with other groups having educational interest; to provide opportunity for leadership among its members; to support the local, state, and national professional organizations; to improve educational opportunities in this county, this state, this nation.
ARTICLE III – MEMBERSHIP (Board Approved 1/28/02)
1. Qualifications: The qualifications of members of the O.C.T.A. shall be: Persons of good moral character, employed in non-administrative positions as defined by PERC by the Osceola County School Board, in Osceola County Florida, and who have a genuine and paramount interest in promoting the objectives of the Association, and who are members of the Florida Education Association and its national affiliates.
2. Manner of Admission: They shall be admitted to active membership in the Association on application and payment of dues, as prescribed in the by-laws.
3. Membership may be classified as full or part time.
4. Suspension and Revocations: The membership of any member may be suspended or revoked in the manner and upon the grounds as prescribed in the by-laws. (Article III, Section IV.)
ARTICLE IV - OFFICERS AND ELECTIONS
The officers of this Association shall be a president, a vice-president, a secretary, and a treasurer. All officers shall be elected by the membership and serve for a period of two (2) years. Duties of the officers shall be those customarily performed by constitutional officers unless otherwise specified in the by-laws.
Officers shall be elected by the membership on a date specified by the Board of Directors.
Balloting shall be held in each site where there are O.C.T.A. members. Only those current active members shall vote and hold office.
ARTICLE V - BOARD OF DIRECTORS
The Board of Directors of the O.C.T.A. shall be composed of elected officers, work site representatives and other such representatives as the Association deems necessary. The immediate past President shall, upon leaving office, become an ex-officio member of the Board of Directors for a period of one year, providing he/she maintains active membership in the Association.
Work site representatives shall be elected by the O.C.T.A. members in the site to which they are assigned. Representatives shall be elected by their constituencies, teachers or educational support professionals.
The Board of Directors shall have general control over the affairs of the Association and shall have the power to approve the president's appointments to special and standing committees of the Association.
ARTICLE VI - MEETINGS
At least two (2) general membership meetings of the Association shall be held annually. The president with the advice of the Board of Directors shall determine the time and place of these meetings. Special meetings may be called by the Board of Directors.
ARTICLE VII - QUORUM
Those members present at any meeting of the O.C.T.A. shall constitute a quorum for that meeting, provided the meeting was announced at least two weeks in advance. In cases where less that two weeks notice is given, 50 percent of the membership of that body shall be necessary to constitute a quorum.
ARTICLE VIII - DISSOLUTION
On dissolution of this organization all of its assets remaining after payment of all costs and expenses of such dissolution shall be distributed to organizations which have qualified for exemption under Chapter 501(c) (3) of the Internal Revenue Code or to the federal government or to a state or local government for a public purpose, and none of the assets will be distributed to any members, officers or trustees of this organization.
ARTICLE IX - AMENDMENTS
An announcement of proposed amendment must be made at a general meeting of the membership at least one month prior to the time a vote is held on the amendment. Voting shall occur at each site where there are active O.C.T.A. members. The date shall be designated by the Board of Directors. Three-fifths (60%) of the votes cast shall be required for the adoption of an amendment. |
